Terms of Service

These Terms of Service ("Terms") govern your use of the FatCat platform, website, desktop application, and related services (collectively, the "Service") operated by FatCat Inc. ("FatCat", "we", "us", "our").

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Definitions

• "Service" — The FatCat platform including the website (sendfatcat.com), API, and desktop application
• "User" — Any individual or entity that creates an account or uses the Service
• "Content" — Any files, data, or materials uploaded, transferred, or stored through the Service
• "Plan" — A subscription tier (Creator, Pro, Studio, or BYOB) with defined features and limits

2. Account Registration

• You must provide a valid email address and accurate information to create an account
• You are responsible for maintaining the confidentiality of your account credentials
• You must be at least 16 years old to use the Service
• One person or entity may not maintain more than one free account
• You are responsible for all activity that occurs under your account

3. Subscriptions & Payments

• Paid Plans are billed monthly or annually, in advance, via Stripe
• All prices are listed in Euros (€) and include applicable taxes where required
• Free trial periods (14 days, 50 GB) do not require a credit card
• After the trial, you must subscribe to a paid Plan to continue using the Service beyond free-tier limits
• You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period
• No refunds are provided for partial billing periods, except as required by applicable law

4. Acceptable Use

You agree not to use the Service to:

• Upload, store, or transfer any content that is illegal, infringing, defamatory, or harmful
• Distribute malware, viruses, or other malicious code
• Attempt to gain unauthorized access to the Service or other users' accounts
• Use the Service for cryptocurrency mining, torrenting, or as a general-purpose hosting platform
• Circumvent usage limits, rate limits, or storage quotas
• Resell or sublicense the Service without written permission
• Send spam, unsolicited content, or phishing links through shared download links

We reserve the right to suspend or terminate accounts that violate these terms, with or without notice.

5. Content Ownership & Responsibility

• You retain full ownership of all Content you upload to the Service
• FatCat does not claim any intellectual property rights over your Content
• You grant FatCat a limited, non-exclusive license to store, transfer, and cache your Content solely to provide the Service
• You are solely responsible for the legality and appropriateness of your Content
• FatCat does not monitor or inspect the contents of uploaded files

6. Storage & File Expiration

• Files are stored according to your Plan's storage allocation
• Shared files may have configurable expiration periods (7–30 days)
• Expired files are permanently deleted and cannot be recovered
• BYOB (Bring Your Own Bucket) users manage their own storage and are subject to their cloud provider's terms

7. Service Availability

• We aim to provide 99.9% uptime but do not guarantee uninterrupted access
• The Service relies on third-party infrastructure (Cloudflare, Supabase, Vercel) and their respective SLAs
• We may perform maintenance with reasonable advance notice
• We are not liable for downtime caused by third-party providers, force majeure, or factors beyond our control

8. Data Protection

We process personal data in accordance with our Privacy Policy and applicable data protection laws (including GDPR). By using the Service, you acknowledge that you have read and understood our Privacy Policy.

9. Intellectual Property

• The Service, including its design, code, branding, and documentation, is the property of FatCat Inc.
• You may not copy, modify, distribute, or reverse-engineer any part of the Service
• "FatCat" and associated logos are trademarks of FatCat Inc.

10. Limitation of Liability

To the maximum extent permitted by law:

• FatCat is provided "as is" without warranties of any kind, express or implied
• We are not liable for any indirect, incidental, special, consequential, or punitive damages
• Our total liability to you for any claims arising from the Service shall not exceed the amount you paid us in the 12 months preceding the claim
• We are not responsible for loss, corruption, or unauthorized access to your Content

11. Indemnification

You agree to indemnify and hold harmless FatCat Inc., its officers, directors, employees, and agents from any claims, damages, or expenses arising from:

• Your use of the Service
• Your Content
• Your violation of these Terms
• Your violation of any third-party rights

12. Termination

• You may terminate your account at any time by contacting support
• We may suspend or terminate your account for violation of these Terms
• Upon termination, your Content will be deleted within 30 days
• Sections 5, 10, 11, 13 and 14 survive termination

13. Governing Law & Jurisdiction

These Terms are governed by and construed in accordance with the laws of the French Republic (Code Civil and Code de Commerce). Any disputes arising from these Terms that cannot be resolved informally shall be subject to the exclusive jurisdiction of the Tribunal judiciaire de Créteil (Val-de-Marne, France), regardless of the User's place of residence or registered office.

14. Dispute Resolution

Before initiating any formal legal proceedings, you agree to contact us at support and attempt to resolve the dispute informally for at least 30 days.

15. Changes to These Terms

We reserve the right to modify these Terms at any time. Material changes will be notified by email at least 30 days in advance. Continued use of the Service after changes take effect constitutes acceptance of the new Terms.

16. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy and Security Policy, constitute the entire agreement between you and FatCat Inc. regarding the Service.
